Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BAScribe, the multi-party electronic-signature service available at bascribe.com and its related APIs (the “Service”). The Service is operated by Aletheia Tech Ltd, a company incorporated in England and Wales, with its registered office in London, United Kingdom (“BAScribe”, “we”, “us”, “our”).
By creating an account, sending a document for signature, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation.
1. The Service
BAScribe lets you upload a document, invite one or more signers, collect their electronic signatures, and record a tamper-evident audit trail. The SHA-256 hash of each document is anchored on the Polygon blockchain and, via OpenTimestamps, on Bitcoin, so its integrity can be independently verified. Only the hash is written on-chain; the document content is never placed on a public blockchain.
2. Accounts and eligibility
You must be at least 18 years old and provide accurate registration information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorised use.
3. Plans, billing and cancellation
The Service is offered on a Free plan and paid plans (Pro, Business) as well as bespoke Enterprise arrangements. Paid plans are recurring subscriptions billed in advance through our payment processor, Stripe. Fees are stated exclusive of taxes, which are added where applicable.
You may cancel at any time from the billing portal; your plan remains active until the end of the current billing period, after which it will not renew. Except where required by law, fees already paid are non-refundable. We may change prices on prospective notice; changes apply from your next renewal.
Your monthly document allowance is counted per calendar month by documents sent for signature (not by the number of signers). Unused allowance does not carry over.
4. Your documents and content
You retain all rights to the documents and content you upload. You grant us a limited licence to host, process and transmit your content solely to provide the Service. You are responsible for the content you send, for having the right to send it, and for obtaining each signer’s consent to sign electronically.
5. Electronic signatures and legal effect
The Service produces electronic signatures with an audit trail (identity verification, consent, timestamps and IP address). These are electronic-record signatures aligned with eIDAS and comparable frameworks and are, in most jurisdictions, admissible as evidence. Verification via a device passkey (biometric) provides a stronger, user-verified factor.
We are not a Qualified Trust Service Provider and do not issue qualified electronic signatures or seals under eIDAS Article 42. Whether a given signature satisfies a specific legal or regulatory requirement depends on your jurisdiction and use case, which you are responsible for determining. Certain documents (for example some wills, deeds or notarial acts) may require formalities the Service does not provide.
6. Document retention
Uploaded and executed files are retained for 30 days and then automatically deleted from our systems. Each party receives the executed PDF at signing, and a standalone verification certificate remains downloadable. The on-chain anchor (the document hash) is permanent and public. Keep your own copies of executed documents; we are not a document-of-record archive.
7. Acceptable use
You agree not to use the Service to: break any law; send fraudulent, infringing, defamatory or malicious content; impersonate any person or misrepresent your authority to sign; upload malware; attempt to gain unauthorised access; or interfere with the Service’s operation. We may suspend or terminate accounts that breach these Terms.
8. Intellectual property
The Service, including its software, design and trademarks, is owned by us and our licensors. These Terms grant you no rights in it other than the right to use the Service in accordance with them.
9. Third-party services
We rely on third-party subprocessors (including for hosting, storage, payments, email delivery and optional AI summaries) and on public blockchains (Polygon and Bitcoin). Public blockchains are decentralised networks outside our control; we do not guarantee their availability or performance. Our use of subprocessors is described in our Privacy Policy.
10. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, including that the Service will be uninterrupted, error-free, or that a signature will meet the legal requirements of any particular jurisdiction.
11. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special or consequential loss, or loss of profits, data or goodwill. Our total aggregate liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
12. Indemnity
You will indemnify us against claims, losses and expenses arising from your content, your use of the Service, or your breach of these Terms.
13. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or where required to protect the Service or comply with law. Provisions that by their nature should survive termination will survive.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and, for material changes, provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have in your country of residence.
